These terms are a binding agreement between you and Fixlos. By creating an account, selling or buying through Fixlos, you accept them, together with our Privacy Policy, Refund Policy and Acceptable Use Policy. If you do not accept them, do not use Fixlos.
About Fixlos
Fixlos is a platform that lets independent sellers ("merchants") sell digital products and services to customers. For those sales, Fixlos acts as the merchant of record. That means Fixlos takes the payment, handles sales tax and VAT where required, deals with disputes, and pays the merchant what they earned, minus fees, refunds and chargebacks.
Who can use Fixlos
- You must be at least 18, or the age of majority where you live. If you use Fixlos for a business, you confirm you can bind that business to these terms.
- You may not use Fixlos if the law forbids it, if you are subject to trade or economic sanctions, or if you are in a place under comprehensive sanctions.
- We may ask you to prove your identity, age or business details at any time.
Your account
Give accurate information and keep it current. You are responsible for the security of your account and for everything that happens on it. If you think someone else has accessed it, tell us right away at support@fixlos.com. One person or business may hold one account. You may not open extra accounts to get around a suspension, a review or a limit.
Our role in sales
- For each sale made through Fixlos, Fixlos is the seller of record to the customer, and the merchant supplies the product. The merchant is responsible for the product itself: what it is, how it works, its updates, its support and its license terms.
- Fixlos collects the customer's payment, calculates and remits sales tax and VAT where required, issues receipts, and handles refunds and chargebacks under the Refund Policy.
- The merchant grants Fixlos the right to sell, deliver and process refunds for their products, and to deal with customers on their behalf for those purposes.
- Fixlos is not a party to the license between the merchant and the customer, and does not guarantee any product.
- Fixlos may refuse, cancel or reverse any sale for legal, fraud, payment or policy reasons.
Selling on Fixlos
- Everything you sell must follow the Acceptable Use Policy. Your store and products may be reviewed before and while you sell.
- You may list only products you own or have the right to sell, that are legal, and that are described accurately. You must deliver what you promise and support it.
- You are responsible for your products and for your own taxes, such as income tax. We do not promise any amount of sales or revenue.
- You set your prices. We may set limits on prices, currencies and product types where needed for payment or legal reasons.
- You must answer customer questions and refund requests about your product in good time.
Fees and payouts
- Fees apply to sales and payouts. They are shown before you start selling and before you withdraw. We may change fees with advance notice, and changes do not affect sales already made.
- We pay out your earnings to the payout account you connect, after fees, taxes we must withhold, refunds, chargebacks and amounts you owe us. You may need to verify your identity and your account with our payment partners first.
- Timing, minimum amounts and limits apply to payouts and are shown before you withdraw.
- We may delay, hold, reduce or reverse payouts for fraud, chargebacks, refunds, disputes, missing verification, reviews, legal requirements or breaches of these terms.
- If a refund or chargeback happens after we paid you, you owe us that amount. We may take it from future payouts or charge you for it.
- Where the law requires, we may withhold taxes from payouts and report your earnings to tax authorities.
Plans and subscriptions
If a merchant sells a subscription or recurring product, the price, billing period and what is included are shown before the customer pays. The subscription renews until cancelled. Customers can cancel as described in the Refund Policy. If Fixlos offers paid plans to merchants, they renew automatically, can be cancelled at any time, and the current period is not refunded except where the law requires.
Your content and our license
You keep ownership of what you upload or submit, such as product files, descriptions, images, names and logos ("your content"). You give Fixlos a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, format, display, distribute and promote your content as needed to run, secure, improve and market Fixlos and to sell your products. The license lasts while your content is on Fixlos, and afterwards for backups and for copies already delivered to customers. You confirm that you have the rights needed to give it. If you send us ideas or feedback, we may use them freely without paying you or crediting you.
Acceptable use
The Acceptable Use Policy sets out what can and cannot be sold and how stores are reviewed, and it is part of these terms. In addition, do not use Fixlos to:
- break the law, or sell illegal, stolen, malicious or infringing content;
- harass, deceive or harm others, or upload content that exploits minors;
- commit fraud, launder money, use stolen payment methods or abuse chargebacks;
- avoid identity verification, sanctions or other legal checks;
- steer customers to pay outside Fixlos for products sold through it;
- probe, overload, scrape or interfere with Fixlos, or bypass its security;
- misrepresent who you are.
We may remove content, hold funds, and suspend or close accounts that break these rules, and we may report illegal activity to the authorities. To report content that infringes your rights or breaks these terms, email support@fixlos.com with enough detail for us to find it.
Our property
Fixlos, its software, design and branding belong to us or our licensors. You may not copy, modify or reverse-engineer them except as the law allows.
Third parties and availability
Fixlos relies on third-party services, such as payment processors, banks and hosting providers. We do not control them and are not responsible for their terms, content or outages. Their rules may also apply to you.
We work to keep Fixlos running, but we do not promise that it will always be available, uninterrupted, error-free or secure. We may change, suspend or stop any part of Fixlos, for example for maintenance, outages or reasons outside our control.
Disclaimer
Fixlos is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any particular result from using Fixlos, including sales. Nothing on Fixlos is legal, financial, tax or medical advice.
Limit of liability and indemnity
To the fullest extent the law allows, Fixlos and its team are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. We are not liable for what merchants sell, for how customers or merchants behave, for failures of third-party services, or for unauthorized access to your account that we could not reasonably have prevented. Our total liability for any claim relating to Fixlos is limited to the greater of the fees we earned from you in the 12 months before the claim or $100. Nothing here limits liability that cannot be limited by law.
If you sell on Fixlos, you agree to cover claims, losses and costs (including reasonable legal fees) that arise from your content, your products, your breach of these terms, or your violation of any law or third-party right.
Ending your account
You can stop using Fixlos and close your account at any time, once any open orders, refunds and balances are settled. We can suspend or close your account if you break these terms, create risk or legal exposure for us or others, or if we stop offering Fixlos. If we close your account, we pay out what you are owed, less amounts we may keep under these terms, unless the law or a payment partner says we must hold it. Sections that by their nature should survive, such as content licenses, amounts owed, disclaimers, liability limits and indemnity, survive.
Changes to these terms
We may update these terms. If a change is material, we will give notice, for example by email or in the app, before it takes effect. If you keep using Fixlos after that, you accept the change. If you do not accept it, stop using Fixlos and close your account.
Disputes and governing law
Please email us first so we can try to settle a problem informally. These terms are governed by the laws of the jurisdiction where Fixlos is established, without regard to conflict-of-law rules, and the courts there have exclusive authority over disputes.
To the extent the law allows, you agree to bring claims only on your own behalf and not as part of a class or group action, and to bring any claim within one year after it arises. Nothing here removes rights that consumer protection law gives you, including the right to bring a claim in your home country.
General
These terms, together with the Privacy Policy, Refund Policy and Acceptable Use Policy, are the whole agreement between you and Fixlos. If part of them is found unenforceable, the rest stays in effect. We are not liable for delay or failure caused by events outside our reasonable control. You agree to use electronic records and signatures. If these terms are translated, the English version controls. If we do not enforce a term, we have not waived it. You may not transfer your account or your rights under these terms. We may transfer ours, for example in a merger or sale. We may contact you by email or in the app, and that counts as written notice.
